You are expected to maintain professional and respectful conduct in all interactions. Prohibited behaviors include:

• • Engaging in fraudulent activities or schemes
• • Attempting to manipulate or deceive our systems or personnel
• • Using our services to facilitate illegal activities
• • Interfering with other users' access to or enjoyment of our services

Content Guidelines

When providing information or submitting content through our services, you must:

• • Refrain from submitting content that violates any third-party rights
• • Avoid offensive, inappropriate, or harmful material
• • Not upload malicious code, viruses, or harmful software

Age Restrictions

Our services are intended for individuals who have reached the age of majority in their jurisdiction. By using our services, you represent that you are at least 18 years old or have reached the legal age of majority where you reside. We do not knowingly provide services to minors. If we become aware that a minor has accessed our services, we will take appropriate steps to terminate such access.

Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

While we strive to provide high-quality advisory services, we cannot guarantee specific financial outcomes or investment results. Financial markets are inherently unpredictable, and past performance does not indicate future results.

Limitation of Liability

To the fullest extent permitted by applicable law, Vertex Advisors, our officers, directors, employees, and agents shall not be liable for:

• • Any indirect, incidental, special, consequential, or punitive damages
• • Loss of profits, revenue, data, or business opportunities
• • Investment losses or financial underperformance
• • Damages resulting from unauthorized access to your account
• • Damages arising from service interruptions or technical failures
• • Damages caused by third-party actions or content

In no event shall our total liability exceed the amount you paid for services during the six months preceding the claim. Some jurisdictions do not allow certain liability limitations, so these restrictions may not apply to you.

Consequential Damages Exclusion

We shall not be liable for any consequential damages including but not limited to lost opportunities, market timing losses, emotional distress, or reputational harm. You acknowledge that financial decisions involve inherent risks and that you bear responsibility for your investment and financial choices based on our advisory services.

Force Majeure

We are not responsible for failures or delays in performance resulting from circumstances beyond our reasonable control, including natural disasters, acts of war or terrorism, pandemics, government actions, labor disputes, power failures, internet service disruptions, or other force majeure events.

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in Toronto, Ontario, and you hereby consent to the personal jurisdiction and venue of such courts.

Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising from these terms or our services, the parties agree to follow this resolution process:

Severability Clause

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the invalid provision shall be severed from these terms, and the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Cookie Policy, Terms of Service, and any specific service agreements, constitute the entire agreement between you and Vertex Advisors regarding the use of our services. These terms supersede all prior or contemporaneous communications, whether electronic, oral, or written, between you and us.

Waiver

No waiver of any term or condition shall be deemed a continuing waiver of such term or any other term. Our failure to enforce any provision of these terms shall not constitute a waiver of that provision or any other provision.
